By accessing or using DealPilot AI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

DealPilot AI provides AI-powered business valuation, Confidential Information Memorandum (CIM) generation, buyer matching, and deal management tools for business owners and buyers. The Service is provided on an "as-is" basis.

3. Marketplace — No Brokerage Relationship

DealPilot AI is an online marketplace platform operated by DEALPILOT HQ LLC. We are not a licensed business broker, investment adviser, attorney, or financial adviser. Nothing on this platform constitutes brokerage services, legal advice, financial advice, or investment advice.

Listings are submitted by third-party sellers and are not verified or endorsed by DealPilot AI. Buyers and sellers are solely responsible for conducting their own independent due diligence before entering into any transaction. DealPilot AI does not represent either party in any transaction and has no fiduciary duty to any user.

Users should consult qualified legal, financial, and tax professionals before making any acquisition or sale decision.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload false or misleading business information
• Attempt to circumvent security measures
• Scrape or systematically extract data from the Service
• Impersonate another person or entity

6. AI-Generated Content

Valuations, CIMs, and buyer matches generated by DealPilot AI are produced by artificial intelligence and are provided for informational purposes only. They do not constitute professional financial, legal, or investment advice. You should consult qualified professionals before making business decisions.

7. Fees and Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days notice.

8. Confidentiality

Business information you upload is kept confidential and is only shared with buyers who have signed an NDA through the platform. We implement industry-standard security measures to protect your data.

9. Intellectual Property

You retain ownership of your business data. By using the Service, you grant DealPilot AI a limited license to process and display your content as necessary to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by law, DealPilot AI shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

11. Termination

We may suspend or terminate your account for violation of these terms. You may cancel your account at any time from your dashboard settings.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. The Service is operated by DEALPILOT HQ LLC, a Wyoming limited liability company. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.
